Хто надає послугуWho provides the service

Послугу надає ФОП Бурзі Андрій Олександрович, зареєстрований в Україні як фізична особа-підприємець, — далі «ми» або «Keelvy». Повні реєстраційні дані наводяться в рахунку та інших документах, які ви отримуєте на кожну оплату.The service is provided by Andrii Burzi, registered in Ukraine as a sole trader (ФОП) — referred to below as “we” or “Keelvy”. Full registration details are stated on the invoice and the other documents you receive with every payment.

Замовником є юридична особа або фізична особа-підприємець, яка оформила підписку та оплатила її у гривні, — далі «ви».The customer is the company or sole trader that took out the subscription and paid for it in hryvnia — referred to below as “you”.

Оплата у гривні означає, що продавцем є ми. Якщо ви оплачуєте в іншій валюті, договір укладається з іншою стороною і діє англомовна редакція умов.Paying in hryvnia means we are the seller. If you pay in another currency the contract is with a different party and the English edition of the terms applies.

Що саме ви отримуєтеWhat exactly you receive

Доступ до вебзастосунку Keelvy як послуги: каталог товарів, медіабібліотека, ціни, склад, замовлення, закупівлі, виробництво та документи — у межах того тарифу, який ви обрали.Access to the Keelvy web application as a service: product catalog, media library, prices, stock, orders, purchasing, production and documents — within the plan you chose.

Ми не передаємо вам програму у власність і не надаємо ліцензію на її примірник. Ви отримуєте доступ до працюючого сервісу на строк оплаченого періоду.We do not transfer ownership of the software to you and we do not license a copy of it. What you receive is access to a running service for the period you have paid for.

Склад можливостей кожного тарифу опублікований на сторінці тарифів і є частиною цих умов.What each plan includes is published on the pricing page and forms part of these terms.

Оплата, рахунок і документиPayment, invoicing and documents

Підписка оплачується за робочий простір, а не за кожного користувача. Місця вже входять у тариф.The subscription is charged per workspace, not per user. Seats are included in the plan.

Оплата здійснюється наперед — за місяць або за рік, залежно від обраного циклу. Річний цикл виставляється одним рахунком.Payment is made in advance, monthly or yearly depending on the cycle you choose. A yearly cycle is invoiced once.

На кожну оплату ми надаємо рахунок і видаткову накладну. За потреби надсилаємо акт наданих послуг.For every payment we issue an invoice and a delivery note. On request we also send a statement of services rendered.

Ціни у гривні опубліковані на сторінці тарифів. Ми можемо змінювати ціни, але вже оплачений період перерахунку не підлягає.Hryvnia prices are published on the pricing page. We may change prices, but a period you have already paid for is not recalculated.

ПодаткиTaxes

Ми працюємо на спрощеній системі оподаткування, тому ПДВ на послугу не нараховується і в рахунку не виділяється.We are on the simplified tax system, so no VAT is charged on the service and none is shown separately on the invoice.

Ваші власні податкові зобов’язання щодо цієї послуги ви визначаєте самостійно.Your own tax obligations in respect of this service are yours to determine.

Повернення коштівRefunds

Протягом чотирнадцяти днів з дня будь-якої оплати, включно з продовженням, ви можете скасувати її та отримати кошти назад. Причину пояснювати не потрібно.Within fourteen days of any payment, a renewal included, you may cancel it and have the money back. No reason is required.

Запит надсилайте на support@keelvy.com з адреси, зазначеної в акаунті, або через екран оплат у робочому просторі.Send the request to support@keelvy.com from the address on the account, or use the billing screen in your workspace.

Кошти повертаються у гривні тим самим шляхом, яким надійшли.The refund is returned in hryvnia, by the same route the payment arrived.

Ваші даніYour data

Дані, які ви вносите в робочий простір, залишаються вашими. Ми не використовуємо їх для власних цілей і не передаємо третім особам, крім випадків, описаних у політиці конфіденційності.The data you enter into your workspace remains yours. We do not use it for our own purposes and do not pass it to third parties, except as described in the privacy policy.

Ви можете вивантажити робочі дані за розділами будь-коли, а також запросити повний архів робочого простору.You can export your working data section by section at any time, and you can request a complete archive of the workspace.

Наші співробітники не мають постійного доступу до вашого робочого простору. Доступ надається окремо, обмежується обсягом і строком, і фіксується в журналі.Our staff have no standing access to your workspace. Access is granted separately, limited in scope and duration, and recorded in the change journal.

Що від вас очікуєтьсяWhat is expected of you

Використовувати сервіс у межах законодавства України і не розміщувати в ньому дані, на які у вас немає прав.To use the service within the law of Ukraine, and not to place in it any data you have no rights to.

Відповідати за дії користувачів, яких ви підключили до свого робочого простору, та за збереження їхніх доступів.To be responsible for the actions of the users you have added to your workspace, and for keeping their credentials safe.

Не намагатися обійти обмеження тарифу технічними засобами — замість цього можна докупити потрібний обсяг блоками.Not to work around the limits of your plan by technical means — the capacity you need can be bought in blocks instead.

Доступність сервісуAvailability of the service

Ми підтримуємо роботу сервісу постійно і завчасно повідомляємо про планові роботи, які можуть впливати на доступ.We keep the service running continuously and give advance notice of planned work that may affect access.

Ми не відповідаємо за перебої, спричинені обставинами поза нашим контролем, зокрема збоями у постачальників зв’язку та інфраструктури або наслідками воєнних дій.We are not liable for interruptions caused by circumstances outside our control, including failures at connectivity and infrastructure providers or the consequences of hostilities.

ПрипиненняTermination

Ви можете скасувати підписку будь-коли. Доступ зберігається до кінця оплаченого періоду, після чого припиняється.You may cancel the subscription at any time. Access continues to the end of the paid period and then stops.

Ми можемо припинити доступ у разі істотного порушення цих умов — зокрема використання сервісу для протиправної діяльності — попередивши вас, якщо це можливо.We may end access in the event of a material breach of these terms — in particular using the service for unlawful activity — giving you notice where that is possible.

Після закриття робочий простір зберігається обмежений час, щоб його можна було відновити, і потім видаляється разом із файлами. Строки вказані в політиці конфіденційності.After closure the workspace is retained for a limited time so that it can be restored, and is then deleted together with its files. The periods are stated in the privacy policy.

ВідповідальністьLiability

Наша відповідальність за цими умовами обмежується сумою, яку ви фактично сплатили за останні дванадцять місяців.Our liability under these terms is limited to the amount you actually paid over the preceding twelve months.

Ми не відповідаємо за упущену вигоду та непрямі збитки. Це обмеження не застосовується до випадків, коли за законом його застосувати не можна.We are not liable for lost profit or indirect losses. This limitation does not apply where the law does not permit it.

Право і спориGoverning law and disputes

До цих умов застосовується право України.These terms are governed by the law of Ukraine.

Спори ми спершу намагаємося врегулювати листуванням. Якщо це не вдається, спір розглядається судом за місцем нашої реєстрації.We first try to settle disputes in correspondence. Failing that, a dispute is heard by the court at the place of our registration.

Зміни цих умов ми публікуємо на цій сторінці та повідомляємо про істотні зміни листом. Продовження користування після набрання чинності означає згоду.We publish changes to these terms on this page and give notice of material changes by email. Continuing to use the service after they take effect constitutes acceptance.
